{"id":2992,"date":"2022-03-22T07:54:02","date_gmt":"2022-03-22T14:54:02","guid":{"rendered":"https:\/\/canadianrugbyfoundation.ca\/rugby\/?page_id=2992"},"modified":"2023-01-07T19:29:42","modified_gmt":"2023-01-08T03:29:42","slug":"governance-committee","status":"publish","type":"page","link":"https:\/\/canadianrugbyfoundation.ca\/index.php\/about-us\/governance-and-organization\/governance-committee\/","title":{"rendered":"GOVERNANCE COMMITTEE"},"content":{"rendered":"<p><img decoding=\"async\" loading=\"lazy\" class=\" wp-image-5417\" src=\"https:\/\/canadianrugbyfoundation.ca\/rugby\/wp-content\/uploads\/2023\/01\/What-is-corporate-governance-300x206.jpg\" alt=\"\" width=\"361\" height=\"248\" srcset=\"https:\/\/canadianrugbyfoundation.ca\/rugby\/wp-content\/uploads\/2023\/01\/What-is-corporate-governance-300x206.jpg 300w, https:\/\/canadianrugbyfoundation.ca\/rugby\/wp-content\/uploads\/2023\/01\/What-is-corporate-governance-768x528.jpg 768w, https:\/\/canadianrugbyfoundation.ca\/rugby\/wp-content\/uploads\/2023\/01\/What-is-corporate-governance-1024x705.jpg 1024w, https:\/\/canadianrugbyfoundation.ca\/rugby\/wp-content\/uploads\/2023\/01\/What-is-corporate-governance.jpg 2000w\" sizes=\"(max-width: 361px) 100vw, 361px\" \/><\/p>\n<p><span style=\"font-size: 12pt;\">The principal duties of the Committee are to:<\/span><\/p>\n<ul>\n<li><span style=\"font-size: 12pt;\">Advise the board on all matters regarding the governance of the Foundation.<\/span><\/li>\n<li><span style=\"font-size: 12pt;\">Review and update the bylaws of the Foundation from time to time as required to achieve clarity, consistency and compliance with legislative requirements and good practice.<\/span><\/li>\n<li><span style=\"font-size: 12pt;\">Provide recommendations on matters of process, procedure and policy as requested by the board from time to time.<\/span><\/li>\n<li><span style=\"font-size: 12pt;\">Assist the chair of the board and senior management of the Foundation in all matters related to governance, including the recruitment and orientation of new directors and the encouragement of diversity and inclusion on the board.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-size: 12pt;\">The committee will develop and follow such procedures as it will determine from time to time, including the appointment of its chair; provided that it will meet at least quarterly and will report to the board on its activities at least annually.<\/span><\/p>\n<p><span style=\"font-size: 12pt;\">The committee will comprise no fewer than two and no more than three members, at least a majority of whom will be directors of the foundation.
